Preamble<\/h3>

sendwerk\u00ae is a brand of Lutter GmbH. Under the sendwerk\u00ae brand, Lutter GmbH offers its customers services in the e-commerce sector, including the arrangement of transportation services on behalf of the client. Lutter GmbH is not a freight forwarding company as defined by the ADSp. <\/p>

The following General Terms and Conditions also refer to the General German Freight Forwarding Conditions (ADSp) and the Logistics General Terms and Conditions of the DSLV Bundesverband Spedition und Logistik e.V. (Logistics General Terms and Conditions), and incorporate them into these General Terms and Conditions.<\/p>

The ADSp and the General Terms and Conditions for Logistics can be accessed on our website at www.sendwerk.de\/adsp and www.sendwerk.de\/logistik-agb.<\/p>

Inhalt und Rangfolge<\/h3>

In addition to these provisions, our business practices are also based on the General German Freight Forwarding Conditions (ADSp) and the Logistics Terms and Conditions of the DSLV Bundesverband Spedition und Logistik e.V. (Logistics Terms and Conditions), as amended from time to time, which are deemed an integral part of our Terms and Conditions.<\/p>

The express provisions of these General Terms and Conditions shall take precedence. Where reference is made to the ADSp, the provisions of the ADSp shall apply supplementarily, provided they do not conflict with the express provisions of these General Terms and Conditions. Where reference is made to the Logistics Terms and Conditions, the provisions of the Logistics Terms and Conditions shall apply in addition, provided they do not conflict with the express provisions of these General Terms and Conditions. If the ADSp and the Logistics Terms and Conditions conflict, the ADSp shall take precedence within the scope of application defined in Section 2 of the ADSp, and the Logistics Terms and Conditions shall take precedence within the scope of application defined in Section 1.1 of the Logistics Terms and Conditions. Should there be an overlap between the two scopes of application, the provisions of the ADSp shall take precedence. <\/p>

Goods Received and Goods Shipped<\/h3>

Lutter GmbH agrees to electronically transmit information regarding incoming and outgoing goods to the client via an interface or by email. If an electronic connection cannot be established, the reports will be submitted manually. <\/p>

The Client agrees to verify the accuracy of the data provided. If the Client does not object to the data in writing within three business days, the reported inventory levels and\/or goods movements shall be deemed accurate. In such cases, the Client shall no longer be entitled to make claims based on inventory discrepancies. <\/p>

In addition, the provisions of the ADSp apply, as do the Logistics Terms and Conditions in their most recent versions with respect to the liability of the freight forwarder or Lutter GmbH.<\/p>

Customs Clearance Fees<\/h3>

In addition to the costs of customs clearance, the client shall bear all fines and import duties incurred in connection with the order for which Lutter GmbH is not at fault.<\/p>

In all other respects, the provisions of the ADSp apply.<\/p>

Insurance of the goods<\/h3>

The client must ensure that its goods are covered by its own insurance. This applies explicitly to storage and transportation. Lutter GmbH may insure the goods if the client explicitly instructs it to do so before the goods are handed over. In this case, delivery to Lutter GmbH may not take place until Lutter GmbH has provided written confirmation of the insurance. <\/p>

In all other respects, the provisions of the ADSp apply.<\/p>

Liability of Lutter GmbH<\/h3>

5.1.<\/strong> The contractor is liable for damages resulting from willful misconduct or negligence.<\/p>

5.2.<\/strong> The Contractor shall not be liable for damages resulting from force majeure or damages that occurred through no fault of its own.<\/p>

5.3.<\/strong> The amount of compensation for damaged or lost goods is generally based on the replacement value of the goods.<\/p>

5.4.<\/strong> The liability provisions set forth above and below also apply to non-contractual claims against the Contractor, its employees, and other persons acting on its behalf.<\/p>

5.5.<\/strong> The contractor has taken out transportation and cargo insurance in its own name with Hans L. Grauerholz GmbH. The deductible per claim is currently 15% of the claim amount, up to a maximum of \u20ac2,500. <\/p>

5.6.<\/strong> To the extent that the Contractor is liable for damages caused by its own fault, the maximum amount of damages to be compensated by the Contractor for damage to goods and financial loss in connection with domestic shipments, as defined in \u00a7 449 of the German Commercial Code (HGB), is limited to 40 SDRs for each kilogram of the gross weight of the shipment.<\/p>

For cross-border freight transport by motor vehicle on public roads, the liability limits set forth in the CMR apply.<\/p>

The contractor’s liability as a warehouse keeper is limited, in accordance with the ADSp, to 8.33 SDR per kilogram, but not to exceed EUR 35,000.00 per claim.<\/p>

Remuneration<\/h3>

Lutter GmbH issues invoices in euros, and invoices must be paid in euros. If payment for services is made in a foreign currency, the client must bear any fees charged by the payment institutions. <\/p>

Different Agreements<\/h3>

Any agreement that deviates from these General Terms and Conditions must be set forth in writing between the Client and Lutter GmbH to be valid.<\/p>

Changes to These Terms and Conditions<\/h3>

Die Lutter GmbH beh\u00e4lt sich etwaige \u00c4nderungen dieser AGB aufgrund gesetzlicher \u00c4nderungen, neuer Rechtsprechung, ver\u00e4nderter wirtschaftlicher Verh\u00e4ltnisse und Erweiterung der Gesch\u00e4ftsfelder vor.<\/p>

The client will be notified of any changes, with a note that the client may object within a reasonable period of time. If the client does not object within the specified period, the change shall be deemed accepted by the client. <\/p>

Jurisdiction, Governing Law<\/h3>

The place of jurisdiction for all legal disputes arising out of or in connection with the contractual relationship shall be the registered office of Lutter GmbH for all parties, provided they are merchants.<\/p>

German law governs the legal relationship between the freight forwarder and the client or the client\u2019s legal successors.<\/p>
